Acceptance of Terms
By accessing primebuddy.in or engaging Prime Buddy for services, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a business, you represent that you have the authority to bind that business.
If you do not agree to these terms, do not use our website or engage our services.
Our Services
Prime Buddy provides the following categories of digital services:
- Digital Product Development — Web applications, SaaS platforms, landing pages, and custom software
- AI Automation Systems — AI chatbots, automation pipelines, and intelligent workflow systems
- Business Process Automation — CRM integrations, workflow automation, and operational tooling
- Digital Growth Infrastructure — Social media content creation and management for Instagram, Facebook, and YouTube
The specific scope of work, deliverables, timelines, and fees for any engagement are defined in a separate Project Agreement or Statement of Work (SOW) signed between you and Prime Buddy. These Terms of Service govern all such engagements.
Client Responsibilities
To enable successful delivery of services, you agree to:
- Provide accurate, complete, and timely information, assets, and access required for the project
- Designate a primary point of contact who can make decisions on your behalf
- Review and provide feedback on deliverables within the timeframes specified in the project agreement
- Ensure you own or have legal rights to all content, images, and materials you provide to us
- Make payments as agreed in the project agreement
Delays caused by late feedback, missing assets, or slow approval may affect project timelines. We will communicate any such impacts proactively.
Payment Terms
Unless otherwise specified in the project agreement, our standard payment structure is milestone-based:
- Advance / Kickoff payment — Due before work begins (typically 30–50% of total project fee)
- Milestone payments — Due upon completion of defined project milestones
- Final payment — Due before final delivery and handover
All prices are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise. Late payments may result in paused work until outstanding amounts are settled.
For monthly retainer services (such as Digital Growth), payment is due at the beginning of each month before content creation begins.
Payments are non-refundable once work has commenced on a milestone, except in cases of material breach by Prime Buddy.
Intellectual Property
Your ownership
Upon receipt of full and final payment, all custom work created specifically for your project — including code, designs, and content — is assigned to you. You own the final deliverable outright.
Our tools & frameworks
We retain ownership of our internal tools, frameworks, boilerplates, libraries, and processes that we bring to the project. These are our working tools, not deliverables, and are not transferred to you.
Third-party components
Some deliverables may incorporate open-source software, third-party libraries, or licensed components. We will use only components with licenses compatible with commercial use and will disclose any such dependencies.
Portfolio rights
Unless you request otherwise in writing, we reserve the right to reference your project in our portfolio and case studies after completion. We will never share confidential business details without your explicit consent.
Confidentiality
Both parties agree to keep confidential all non-public information shared during the course of the engagement, including but not limited to business plans, financial details, technical architecture, and customer data.
This obligation continues for a period of 2 years after the conclusion of the engagement, unless the information becomes publicly known through no fault of either party.
For projects involving sensitive data, we are happy to sign a separate Non-Disclosure Agreement (NDA) before the initial consultation.
Limitation of Liability
To the maximum extent permitted by applicable law, Prime Buddy's total liability for any claim arising out of or related to a project shall not exceed the total fees paid by you for that specific project in the 3 months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
We are not responsible for failures, outages, or data loss caused by third-party services (hosting providers, APIs, platforms) integrated into your project.
Termination
Either party may terminate a project engagement with 14 days' written notice. In the event of termination:
- You will be invoiced for work completed up to the termination date, based on the agreed milestone or hourly rate
- We will deliver all completed work to you upon receipt of payment for work done
- Advance payments are non-refundable unless the termination is due to a material breach by Prime Buddy
We reserve the right to immediately terminate an engagement if a client engages in abusive behavior, requests illegal activities, or fails to make payments after reasonable notice.
Website Use
You may use primebuddy.in for lawful purposes only. You agree not to:
- Attempt to gain unauthorized access to any part of the website or its underlying systems
- Use automated tools to scrape, crawl, or extract data from this website without permission
- Upload or transmit any malicious code, spam, or harmful content
- Misrepresent your identity or affiliation when contacting us
We reserve the right to block access to the website for any user who violates these terms.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Odisha, India.
Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.
